This Event Agreement (or "Agreement") is a Supplemental Agreement to the Terms between you and UnieUnie, and it sets forth additional terms and conditions that are applicable to your provision of Event Services through the Platform. Capitalized terms herein have the meaning set forth in the Terms.


1. Relationship with UnieUnie

You acknowledge and agree that the Event Services are not a marketplace, and any contract of sale made through the Event Services is directly between you and the customer.

You are the seller of record for all items you sell through the Event Services. You are responsible for the creation and operation of your services that you may sell through the Event Services, and all aspects of the transactions between you and your customer(s). This includes, but is not limited to, authorizing the charge to the customer in respect of the customer’s purchase, refunds, returns, fulfilling any sales or customer service, fraudulent transactions, required legal disclosures, regulatory compliance, alleged or actual violation of applicable laws (including but not limited to consumer protection laws in any jurisdiction where you offer services for sale), or your breach of these Terms. You represent and warrant that your services you sell through the Event Services will be true, accurate, and complete, and will not violate any applicable laws, regulations or rights of third parties.

For the avoidance of doubt, UnieUnie will not be the seller or merchant of record or marketplace facilitator and will have no responsibility for your items sold to customers through the Event Services.


2. Representations, Warranties, and Agreement

By providing your services through Event Services as an organizer on the Platform, you represent, warrant, and agree that:

  • You will obtain, before starting ticket sales, all applicable licenses, permits, and authorizations ("Licensure") for your events. Licensure includes state, county, municipal, or other local authority's authorization of the event, traffic engineering authorizations, fire department inspection reports, fire marshal permits, authorization to receive minors, sanitary authorization, and property operation permits.

  • You will comply, and will ensure that the venues for your events comply, with all applicable laws, regulations, rules, and ordinances.

  • You will maintain throughout the use of the Event Services the applicable Licensure to promote, produce, sponsor, host, and sell tickets for all of your events.

  • You will provide evidence of Licensure and related information prior to offering tickets or registrations for your events and promptly upon our reasonable request from time to time.

  • You may not process, and you represent and warrant that you will not process, any of the following transactions:

  1. Any transaction that violates any applicable regulations and laws, including any transaction involving certain adult content or activities, illegal goods or services (including cannabis), paraphernalia associated with illegal goods or services, cryptocurrency purchases, raffles, sweepstakes, or gambling.

  2. Any fraudulent or criminal transaction, including any transaction that would be a “restricted transaction” as defined in the Unlawful Internet Gambling Enforcement Act of 2006.

  3. Any transaction that is unrelated to your events on the Platform.


3. Payment Processing

To facilitate payments for you, we partner with third-party payment processors (such as Stripe, Mercury, Zelle, Venmo, Cash App, PayPal, the "Payment Processor Partners"). 

Please note that we merely provide technical support regarding payment processing between you and our Payment Processor Partners. We do not collect payment from the customer of the event nor transmit that payment to you for consideration.

You are directly subject to the rules and regulations of our Payment Processor Partners. In certain cases, you may be required to enter into separate agreements with them to receive payments.


4. Tax

You are solely responsible for collecting, remitting, and reporting all taxes to the appropriate governmental authorities.

Taxes may vary based on the nature of your event, the nature of your tax status (individual, entity, business, consumer, etc.), your location, the location of your consumers, credits and deductions for which you may qualify, and other factors.

We cannot give you legal or tax advice, so please be sure to check with your own legal and/or tax advisor about any applicable taxes.
